The Adoni Group, Inc. is a wholesale importer and manufacturer of shoes, handbags and accessories. The Sale Asssets are described as:

1. All intellectual property rights derived from and related to Aimee Kestenberg, Aimee K, AK, or any variations thereof, including, the trademarks, trade dress, logos, domain names, URLs, social media accounts and presences, web sites and links, trade names, trademark applications/registrations, copyrights, trade secrets, moral, attribution and integrity rights, goodwill, designs, graphics, images, prototypes, treatments, color selections or combinations (including the “python print” logo) related thereto, and all intellectual property rights developed or created in the future incorporating any of these rights transferred, including, and to the extent not included in the foregoing, and any and all intellectual property rights transferred to Seller pursuant to the Service Agreements;
2. All trade secrets, confidential information, know-how, formulae, processes, procedures, methods, techniques, discoveries, improvements, ideas, models, algorithms, patterns, compilations, data collections, drawings, blueprints, devices, customer lists, technical information and data, specifications, research and development information, engineering drawings, operating and maintenance manuals, supplier lists, pricing and cost information, marketing materials, product copyright materials and other similar information and rights, research records, unpatented concepts or inventions, records of inventions, invention disclosures, test information, and market surveys, in each case related to the AK IP;
3. The AIMEE ELAN trademark and all associated trade dress, to the extent that Seller had any interest in same (all of the above being the “AK/SE Intellectual Property” and together with the Service Agreements the “AK IP”);
4. Two (2) Mac Laptops
5. One (1) Samsung laptop
6. All of AK IP related design samples, prototypes and working samples in Seller’s possession;
7. All leather swatches related to the Purchased Assets;
8. All development binders related to the Purchased Assets or that contain any material prepared, created, assembled, or in any manner touched by the Designers in Seller’s possession; and
9. All footwear development samples related to the Purchased Assets in Seller’s possession.
