Intellectual Property and Related Assets of Toy Store

Sale of U.S. Intellectual Property Assets, Including the U.S. E-Commerce Assets of (i) Toys “R” Us - Delaware Inc.; and (ii) Geoffrey LLC, described as below:

• subject to any exceptions included herein to the contrary, the U.S. applied-for registered and common law trademarks, service marks, trade names (including Toys “R” Us, Babies “R” Us, and Kids “R” Us), and the Geoffrey mascot including variations of such trademarks, service marks, and trade names (collectively, along with any other related trademark assets, the “U.S. Trademark Assets”);
• the operating domain names associated with the U.S. e-commerce business with a top-level-domain extension of .com, .net, .org, .us, and certain other variants (“U.S. Domain Names”), which includes certain “defensive” domain names, a schedule of which is attached as Schedule 1.1(b) to Exhibit A of the U.S. Intellectual Property Bidding Procedures;
• U.S. gift registries and customer databases, including the internal coding information related to such registries and databases;
• related electronic files, including U.S. customer files, and product history files for U.S. customers and the U.S. business;
• loyalty program and “birthday club” electronic data for customers of the U.S. business; and
• certain content, software, and/or contractual rights exclusively relating to the U.S. e-commerce operations.
