Financial Assets of Insurance Agency Business

Sale of assets of the seller was an independent insurance agent with Allstate Insurance (“Allstate”). Through his solely-owned insurance firm of Himmelreich Holdings Co., Inc. and/or Himmelreich Holdings Co., LLC, the Debtor managed and brokered insurance policies through Allstate and through other independent carriers. The sale assets described as below:

• All and any customer lists, files and customer account records used by the seller in connection with the operation of his property and casualty business that are in the possession of the Seller; and any and all financial files and customary records in connection with all customer accounts in the possession of the Seller;
• The Seller’s interests in the Expanded Market Ivantage Book(s) of business, including but not limited to the Exclusive Agent Owned books of business and Ivantage Owned books which shall be transferred to the Buyer’s agency; and
• Seller’s “goodwill”, plus all interest of Seller in the renewals of the above mentioned policies that are associated with the seller's former insurance agency.
