Equity Interest in Reorganized Company

Sale of equity of the Reorganized Debtor (Custom Blinds and Components, Inc. as debtor). This Plan provides for a comprehensive reorganization of the Debtor to preserve its going concern value and future business. The Reorganized Debtor intends to make payments to creditors by, among other things, (a) streamlining its operations by reducing total cost of sales; (b) cash from operations; (c) reducing the amount due under its obligations to Fresh Spring International, Inc. and Genes Industry, Inc. by obtaining certain economic concessions; and (d) the New Value Contribution.
