Sale of corrosion equipment and supplies business line by MSES Consultants, Inc., describe as below:

• all right, title and interest in and to all custom built jigs and fixtures, parts, supplies, and other tangible and intangible property owned by the Seller and used, or
• acquired, purchased or held primarily, in connection with its CES busness.
• all right, title and interest in and to all Inventories owned by the Seller relating to the CES Business
• all rights and interests of the Seller in respect of all permits, licenses, franchises, consents, authorities, special authorities, and other similar acts of any governmental
• authority or body held by the Seller in connection with the CES Business
• all rights, title and interest in and to (i) all trademarks used or acquired, purchased or held primarily, in the CES Business, (ii) all prints, designs and specifications
• relating to or used or available for use in the CES Business and (iii) all other Seller Intellectual Property;
• all rights and claims (whether contingent or absolute, matured or unmatured and whether in tort, contract or otherwise) against any person that relate to the CES

Business, including, but not limited to, any Liens, judgments, causes of action and rights of recovery;
