Copyright for Sale

Public Sale of Copyright. The Copyright Property includes any world-wide copyrights in and to (i) any and all musical compositions written, composed and/or controlled in whole or in part by the Seller and/or his estate as of the date of the Offer (“Compositions”); (ii) any and all sound recordings and/or master records owned and/or controlled in whole or in part by the Seller and/or his estate as of the date of the Offer (“Recordings”; the Compositions and the Recordings are collectively referred to herein as the “Works”); and (iii) any and all licenses, agreements and written instruments in respect of the Works (“Works Agreements”), including, but not limited to, that certain agreement by and between the Seller and Sony Music dated as of January 25, 2011 ( the “Sony Agreement”), including, but not limited to, the Works and Works Agreements.
