Claims for Sale

Sale of claims described below:

• any claim that CBMF III, LLC n/k/a WOPM, LLC (“WOPM”) is or ever has been the alter-ego of Dennis Birenbaum so as to make WOPM’s assets available to satisfy the claims of the creditors in Birenbaum’s bankruptcy estate;
• any claim that, as to Birenbaum’s creditors, the December 12, 2008 sale of art by TAC Group Limited to WOPM constituted a fraudulent transfer by Dennis Birenbaum or any person acting in concert with him;
• any claim for damages that the April 4, 2007 “Art Purchase Agreement” as was a usurious transaction; and
• any claim arising out of the failure, if any, of Birenbaum to list as an asset of his estate a note/loan receivable from WOPM.
