Claims for Sale

Sale of any and all rights, claims, causes of action, and defenses of every nature and description, known and unknown, past, present, and future, accrued or unaccrued, arising out of or relating in any way to any interests of the Seller: (a) in the Buyer issued insurance policies, including but not limited to any coverage claim or first party bad faith claim, whether statutory or common law in nature; and (b) against or related to Buyer and/or the State Action and MVA, including but not limited to any coverage claim or first party bad faith claim, whether statutory or common law in nature, past, present and future (collectively, the “First-Party Claims”).
