Description

Sale of Blackrock Loans of Irish Bank Resolution Corporation Limited (IBRC). IBRC's predecessors routinely made both commercial and residential loans, and as a result IBRC holds a commercial loan book, a mortgage loan book, and a portfolio of certain commercial and residential properties. This Motion only pertains to a single tranche (known as tranche 5) within a single portfolio of IBRC's assets, commonly referred to as Project Amber.

Tranche 5 contains certain assets within the territorial jurisdiction of the United States, referred to herein as the "Blackrock Loans." The Blackrock Loans are comprised of 4 loans made to 1 individual, and each such loan is secured by shares in an Irish medical clinic and, for certain of those loans, certain property located in Ireland. The nominal gross loan balance of the Blackrock Loans is approximately EUR €16,144,500. The borrower under the Blackrock Loans is currently residing in the United States, the Blackrock Loans have no other connection with the United States, and primarily involve security over shares in an Irish hospital and various parties located in Ireland. The borrower of the Blackrock Loans continues to hold the right to redeem the Blackrock Loans at full par value, pursuant to the underlying loan documents.

Purchased Assets: IBRC's Right, title, interest and benefits in and to the following: (a) all Facilities, (b) all Related Security, (c) any and all of IBRC's rights, title, interest and benefits arising after the Cut-Off Date, in and to the rent, claims and other rights of IBRC in and to any Net Collections and in and to any non-cash distributions with respect to the Assets arising after the Cut-Off Date, (d) any and all of IBRC's rights, title, interests and benefits in and to the Finance Agreements, and (e) all Ancillary Rights and Claims.
