Sale of Assets of Kamana O'Kala, LLC, described as below:

• All of Kamana’s rights and interests in all accounts receivable totaling $908,926.77, valued at $0;
• All of Kamana’s rights and interests in all raw materials – electric wire, brushes, tools, etc.,
• Ford TX Box Van Truck, 1998 VIN FDWE37S5WHB59395 – does not run and likely not worth repairing;
• Equipment Trailer, Plate Number HU64236, VIN 5R8CH1627AMO16901;
• Flatbed Trailer, Plate Number HU07543, VIN SK4544S47, 1968 Totem FB;
• Utility Trailer, Plate Number U430404, VIN 4RACS162X7N051831, 2007 INTER BX;
• Executory Contracts and Unexpired Leases listed as 2.1 through 2.21 on Schedule G as follows (the “Solar Contracts”): i. Allen P. Orloff; ii. Amethyst; iii. Avishkar Property Management LLC; iv. Bella Organic Farm LLC; v. Eastgate Apts; vi. Finn Hill Vineyard; vii. Gresham Suites LLC; viii. Inspirra, Inc.; ix. Jake Price; x. Koorosh Zaerpoor; xi. Lange Estates; xii. Mel Bitikofer; xiii. Pacific Woolen; xiv. Reed Institute; xv. Sandview Development; xvi. Spot Properties; xvii. Stark Firs Management; xviii. Stefon A. Orloff; xix. Town & Country Fence; xx. Voyager Components Inc.; xxi. Wine Country Farms, LLC;
• All of Kamana’s rights and interests in any other solar projects that are not listed in Schedule G, including without limitation, the solar project for Professional Grounds Management located at 28335 NW Evergreen Road, Hillsboro, OR 97124, shall be transferred to Lite Solar;
• All of Kamana’s rights and interests in all tangible personal property that Lite Solar claims to own shall be transferred to Lite Solar;
• All of Kamana’s rights and interests in all tangible personal property that Totalis claims to own shall be transferred to Totalis;
• All of Kamana’s rights and interests in the Totalis Note shall be transferred to Totalis; and
• All of Kamana’s rights and interests in all Remnant Assets and all assets not covered by the foregoing provisions shall be transferred to Sahni or his designee.
