Assets of Oil & Gas Exploration Company

Sale of certain relatiyely small (less than 1%) working interests of Arabella Exploration, LLC ("AEX") in oil and gas lands, leases, wells and related assets (the "Oil & Gas Assets"), and more described as below:

• All rights, titles and interests (of whatever kind or character, whether legal or equitable, and whether vested or contingent) of Assignor in and to the oil and gas leases and other interests described in Exhibit A attached hereto (and any ratifications, extensions, renewals and amendments thereof, whether or not the same are described in Exhibit A) and in and to the lands described in or covered thereby (collectively, the "Lands"), including, without limitation, interests in oil, gas and/or mineral leases, overriding royalties, production payments, net profits interests, fee mineral interests, fee royalty interests and other interests, even though Assignor's interest therein may be incorrectly described in, or omitted from, such Exhibit A (collectively, the "Leases");
• All rights, titles and interests of Assignor in and to the oil, gas and/or salt water disposal wells and associated equipment located on the Leases, including, without limitation, those described in Exhibit B attached hereto (collectively, the "Wells");
• All rights, titles and interests of Assignor in and to, or otherwise derived from, all presently existing and valid oil, gas and/or mineral unitization, pooling, and/or communitization agreements, declarations, designations and/or orders (including, without limitation, those described in Exhibit A attached hereto) and in and to the properties covered and the units created thereby (including, without limitation, all units formed under orders, rules, regulations, or other official acts of any federal, state, or other authority having jurisdiction, and voluntary unitization agreements, designations and/or declarations) relating to the properties described in subsections (a) and (b) above;
• All rights, titles and interests of Assignor in and to the contracts and agreements described in Exhibit C attached hereto (collectively, the "Contracts");
• All rights, titles and interests of Assignor in and to all materials, supplies, machinery, equipment, improvements and other personal property and fixtures (including, without limitation, all wells, wellhead equipment, pumping units, flowlines, pipelines, tanks, platforms, buildings, saltwater disposal facilities, injection facilities, compression facilities, gathering systems, and other equipment) located on the Lands or used in connection with the exploration, development, operation or maintenance of the properties described in subsections (a), (b) and (c) above (collectively, "Personalty");
• All rights, titles and interests of Assignor in and to all permits and licenses (including, without limitation, all environmental and other governmental permits, licenses and authorizations), rights of way, easements, and other rights of surface use and water rights used in connection with the exploration, development, operation or maintenance of the properties described in subparagraphs (a), (b) and (c) above, including, without limitation, all rights, titles and interests of Assignor in and to the rights of way, easements and surface rights described on Exhibit D attached hereto and all Personalty located on such rights of way, easements and surface rights (collectively, the "Surface Rights");
• With the exception of all corporate, financial, tax and legal records of Assignor (which are hereby excluded from the Subject Properties), originals of all lease files, land files, well files, gas and oil sales contract files, gas processing files, division order files, abstracts, title opinions, and all other books, files and records, information and data (including production, engineering, geological and geophysical data), and all rights thereto, of Assignor insofar as the same are related to any of the properties described in subparagraphs (a), (b), (c), (d), (e) and (f) above and to the extent the transfer thereof is not prohibited by existing contractual obligations with third parties; and
• All oil, gas and/or other liquid or gaseous hydrocarbons produced from or attributable to the Subject Properties (as defined below) (the "Hydrocarbons") attributable to the period from and after the Effective Time, or with respect to any such Hydrocarbons sold after the Effective Time, Assignor's right to receive the proceeds of such sales.
