Assets of Brokerage and Investment Services Business

Sale of Client Accounts of Williams Financial Group, Inc., which include:

• All remaining client accounts managed by WFGI on the Petition Date (the "Client Accounts");
• All books, records and files related to the Client Accounts; and
• All rights under any agreements related to the Client Accounts, including but not limited to agreements pursuant to which the Seller is entitled to receive any form of remuneration with respect to the Client Accounts (the "Assumed Contracts" which together with the "Client Accounts," and all books, records, and files related to the Client Accounts, shall be referred to as the "Assets").
