Assets of Armored Vehicle Manufacturing Business

Sale of assets of Texas Armoring Corporation (the “Seller”), which includes:

• Books, records, business documents, intellectual property, trademarks, patents, databases, vendor information, business contact lists, online profiles, websites, domain names, logins, company emails, and legal claims relating to the foregoing;
• The Agreement specifically includes all books, records, business documents, intellectual property, trademarks, patents, databases, vendor information, business contact lists, online profiles, websites, domain names, logins, company emails, sales data, sales lists, vendor’s lists, and legal claims of Texas Armoring Corporation, including the right to license, sale, lease, or grant that intellectual property to third-parties at any time, including any rights that were granted or extended to third-parties prior to the execution of this;
• All trade names and websites operating or purporting to operate under the trade name, Texas Armoring Corporation;
• All social medial accounts utilizing Texas Armoring Corporation or its trade name, or intellectual property;
• All data bases, files of any kind, documents, “cloud” based or internet files or accounts, email or chat accounts (including Slack or any other messaging service), Excel or other spreadsheet program, Quickbooks, Salesforce or any similar online data base tool.
