Description

Sale of accounts receivable, certain intellectual property, and an outstanding Judgment which includes:

  1. The “Collateralized Loan Portfolio” which consists of the Seller’s accounts receiveables, together with any automobile titles received by the Seller as security for the same. Since the filing of the bankruptcy petition, the Trustee has been collecting the payments on the accounts and releasing titles when an account has been paid in full.
  2. Trade name of Lexidy aka Lexidy Title Loans, the telephone number associated with the business, and whatever rights the bankruptcy estate has in the web page that had been maintained by the business.
  3. A “Judgment” entered, pre-petition, in favor of the Seller and against Heather Ansley, in the amount of $110,000 in that certain action entitled Fintin Group, LLC v. Ansley, State of California, San Diego Superior Court Case No. 37-2016-00002186-CU-BC-CTL (the “Ansley Judgment”). A copy of the Ansley Judgment is attached to the Agreement as Exhibit C. The law firm of Goode, Hemme and Peterson, which represented the Seller in connection with the Ansley Judgment has filed a general unsecured claim in the Bankruptcy Case in the amount of $1,353.27, (Claim No. 3), but, in an email to my counsel, has asserted a charging lien against any recovery on the Ansley Judgment. A copy of the law firm’s retainer agreement is attached to the Agreement as Exhibit D.
