Public Auction Sale of Business, Simplexity, LLC located in Reston, Virginia. The LLC were the largest independent online activator of mobile phones in the United States through their Consumer Wireless Division ("CWD"), which comprises the Company's branded Wirefly website and hundreds of private label websites that are enabled by the Seller's infrastructure and seamlessly integrated with online retail partners' sites.

In addition to being the largest independent online activator of wireless devices for Verizon, T-Mobile, and Sprint, the Debtors powered sales for 15 of the top 20 retail websites that sell mobile phones. The Debtors also offered the most complete and easiest to implement software platform to assist physical, online, and omni-channel retailers through their Retail Transaction Services Division ("RTSD"), enabling faster, more efficient, more accurate, and more profitable processes for the sale and activation of mobile devices.

The Sale Assets are:

1. The Equipments;
2. The Intellectual Property owned by the Sellers or any of their Affiliates that is used in or held for use in the Platform;
3. All physical and virtual systems, software, hardware, associated appliances, Intellectual Property, specifications, methods, writings, compilations of information, designs, documents, drawings, architecture diagrams, integration documents, integration scope and requirements documents, manuals, code, business continuity plans, customer service documents and information, business analytics and/or similar materials or information (including both paper and electronic drafts, historical information, partially complete information and roadmaps for future enhancements), whether in the development, staging, preproduction or production environment, that supports or is expected to support the wireless activation platform(s), both online and in physical retail locations, for the activation of wireless devices, the ecommerce platform, ancillary support, fraud prevention services, and the services heretofore provided by the Sellers to the Stalking Horse Bidder and its Affiliates;
4. The Assigned Contracts;
5. All books and records relating to the Stalking Horse Assets;
6. The goodwill and going concern value and other intangible assets, if any, arising from or related to the Stalking Horse Assets;
7. Any domain names owned or held for use by the Sellers including or incorporating "Walmart," "Sam's Club" or any derivatives thereof; and
8. The items and assets set forth on Schedule 2.1.
