Telecommunications Company in Florida

Sale of substantially all of assets of the Dataconnex, LLC which is a telecommunications company that provides services to rural health care end users through the use of equipment that is primarily leased. The sale assets described as below:

• Any and all rights and/ownership to existing and sold contracts and executory contracts, including any and all vendor agreements (the “Business Contracts”) as set out in Schedule 4.11;
• Any and all fixed assets of Seller, including but not limited to the customer premises equipment owned by Seller, along with any and all supplies, materials and equipment;
• Any and all personal property belonging to the Seller;
• Any and all customer lists;
• Any and all accounts receivable as of the Closing Date;
• Any and all current and future funding from the Universal Service Administrative Company (“USAC”) (or its successor entity) related to all acquired customer accounts and Business Contracts;
• Any and all leases of real or personal property as to which Seller is the lessor or the lessee, as described in Schedule 4.4 (the “Business Leases”);
• The goodwill associated therewith and ability, if necessary or desired, for Purchaser to continue to do business as Charger Access, LLC dba DataConnex.
