Tanning Bed Business in New York

Sale of Substantially All Business Assets of TANNING BED, INC., descibe as below:

• the membership database and membership contracts for all of Seller’s eighteen (18) locations that were open on October 22, 2015
• all: (a) rights to use all Seller’s stores’ telephone numbers; (b) as reasonably required by Purchaser, all books, records, computer software, and financial information of Seller related to the service of the Assumed Contracts; and (c) all customer lists used in the operation of Seller’s business
• all of Seller’s right, title and interest in and to those trademarks, service marks, trade dress, logos, and trade names and corporate names together with the goodwill associated therewith, copyrights and copyrightable works of Seller
• all social media sites owned or controlled by Seller
• all tangible personal property of any kind, including, equipment, appliances, refrigerators, machinery, tables, chairs, other furniture, furnishings, signage, paper products, cleaning supplies, leasehold improvements, fixtures, supplies, computers, POS systems, and related hardware and software or products branded with the Seller’s logo, trademark, or trade name, advertising and promotional materials, and all machinery, fixtures, and supplies
• all inventory of New Sunshine or ETS lotions, creams and body oils located in the stores operated by the Seller
• the non-residential real property Leases,
• the exclusive right to control, during the Restricted Period, the content of the website www.tanningbed.com
