Seven Minnesota Projects of Renewable Energy Company

Sale of Equity Interests in Seven Minnesota Projects. The Sale include 100% of the equity in the seven Project Companies that own the Sale Projects, listed in Schedule 1.1 on Page 165 and 167 on the attached PDF.

The Minnesota Projects: The Company previously sought and obtained this Court’s approval to sell 22 commercial and industrial segment (commonly referred to as “C&I”) projects under development in the State of Minnesota (the “Minnesota Projects”) to SoCore pursuant to the terms of a certain Purchase and Sale Agreement, dated as of August 10, 2016, by and between the Seller and SoCore (the “SoCore PSA”). At the time of seeking this Court’s approval, the Debtors notified the Court that certain projects involved properties where interim land use permits had been issued, but conditional land use permits had not been issued (the “Sale Projects”). Projects with interim use permits bear a greater risk of losing their permitted status than projects with conditional use permits.
