Seafood Products Business in Virginia

Sale of substantially all the assets of Dickie Poh Corporation, including sale of real property and all of its personal property.
DPC is a privately held Virginia corporation in the business of manufacturing seafood products for consumer consumption. It currently operates one processing facility located in Richmond, Virginia.

(i) Real Property: Three contiguous parcels of improved real property ("Owned Real Property") located in the City of Richmond, Virginia and designated as Tax Map Parcels W0000436017, N0000436026 and N0000436027, and more particularly described in Exhibit 1 on the attached PDF.

(ii) Personal Property: (a) Cash and cash equivalents; (b) All accounts or notes remedy or other right related to any of the fore receivable held by Seller, and any security, claim, ing ("Accounts Receivable"); (c) All inventory, finished goods, raw materials, work in progress, packaging, supplies, pans and other inventories ("Inventory"'); (e) All Intellectual Property Assets; (f) All furniture, fixtures, equipment, machinery, tools, vehicles, office equipment, supplies, computers, telephones and other tangible personal property ("Personal Property"), and more particularly described in Exhibit 1 on the attached PDF.
