Retail Station Permit and All Store Assets for Sale

Sale of substantially all the Assets of Metropolitan Coffee and Concession Company, LLC including company's kiosk, or store assets. The Assets include Retail Station Permit No. 232, with BART, all machinery, equipment, inventory, fixtures, furniture, supplies, tools and other tangible personal property associated with the company's operation of the kiosks. The Permit provides for the construction of up to eight (8) such Centers in various BART stations, but, at present company operates only four Centers, in the Embarcadero, Montgomery, Berkeley, and Pittsburg BART stations. Three of those Centers (Embarcadero, Montgomery and Berkeley) are Peet’s coffee kiosks, under a prepetition Supply and License Agreement Aegis and Metropolitan entered into, as licensees, with Peet’s Operating Company, Inc. (“Peet’s”). The fourth does business as "Metro Market," and also brews and serves Peet’s coffee.

The Company is in the business of owning, managing and operating Stand Alone Retail Centers in stations of the San Francisco Bay Area Rapid Transit District (“BART”), pursuant to a Retail Station Permit.
