Sale of restaurant businesses located at 226 Comfort Inn in Morgantown West Virginia, 1165 Mall Run Road in Uniontown Pennsylvania, and 383 Patterson Drive in Morgantown West Virginia, the leases to the premises, together with the stock in trade, furniture, fixtures, equipment, telephone number, trade name, all other assets used and owned by the Sellers in connection with the operation of the restaurant businesses, all right, title and interest in and to any point of sale, equipment and all software, including, but not limited to, source codes, copyrights, programs, trademarks, service marks, or other intellectual property owned, leased, and/or utilized in the business of the Sellers, or otherwise controlled by the Sellers, and any prepaid rent and utilities.
