Restaurant Business in Washington

Sale of restaurant business known as Henry’s Taiwan Kitchen located in 4106 Brooklyn Avenue, Suite 102B, in the University District of Seattle, Washington. The assets includes:

• Equipment: All machinery described on Schedule 1, including all transferable warranty rights from suppliers;
• Covenant not to Compete: All covenants not to compete contained in the Amended and Restated Limited Liability Company Agreement for Henry’s Taiwan Restaurant Group, LLC dated January 1, 2016;
• IRC 197 Intangibles: IRC 197 Intangibles, including but not limited to workforce in place, including its composition and terms and conditions (contractual or otherwise) of its employment; operating systems, or any other information base (including lists or other information with respect to current or prospective customers); and any patent, copyright, formula, process, design, pattern, knowhow, format, or other similar item;
• Deposits: All deposits to third parties, including the lease deposit with Seller’s landlord; and
• Inventory, Chattel Paper, Accounts, and General Intangibles: All Inventory, Chattel Paper, Accounts, and General Intangibles; whether any of the foregoing is owned now or acquired later; all accessions, additions, replacements, and substitutions relating to any of the foregoing; all records of any kind relating to any of the foregoing; all proceeds relating to any of the foregoing (including insurance, general intangibles and other accounts proceeds).
