Restaurant Business in New York

Sale of substantially all of assets of the ASH Restaurant Group, including all of seller's business assets and properties of every kind, character and description, whether tangible, intangible, real, personal or mixed, including the goodwill thereof, located at 690 a/k/a 700 North Avenue, New Rochelle, New York 10801 (the "Premises"), all of which are sometimes hereinafter collectively referred to as the "Assets". The Assets to be conveyed to Purchaser by Seller at closing include, but are not limited to, the following:

• All of Seller's inventory at the Premises.
• All of Seller's tangible personal property, including but not limited to, equipment, office supplies, furniture, fixtures, shelving and leasehold improvements heretofore used in Business (hereinafter referred to as the "Fixed Assets"). The Fixed Assets are those items listed on Schedule "A" on the attached PDF. The Fixed Assets shall be delivered in substantially the same condition as they are on the date of this Agreement, subject to ordinary wear and tear;
• An assignment of the leasehold interests the Seller may have in the Premises, which Purchaser desires to assume in its discretion, except the lease annexed as Schedule B which Purchase agrees to assume;
• An assignment of any leased equipment used at the Premises;
• Any goodwill and other intangible rights; and
• All of Seller's telephone numbers and facsimile heretofore utilized in the Business.
