Description

Sale of substantially all of assets of W & J Higgins Investments L.P., (“Seller”) operates a restaurant located at 1461 Rimpau Avenue, Corona, California 92879. The sale assets including all of Seller’s right, title and interest in and to the following assets and properties:

  • Assumed Contracts: Pursuant to section 365 of the Bankruptcy Code, the following unexpired lease and executory contracts of Seller: (i) Seller’s interests as lessee,
  • pursuant to the real property leases from which the Stores are operated, as identified in Exhibit B-1 on the attached PDF; (the “Leases”); and (ii) the other executory contracts listed specifically in Exhibit B- 2 on the attached PDF (collectively, the “Assumed Contracts”);
  • Furniture, Fixtures and Equipment: All furniture, fixtures, equipment, signs, smallwares, and cooking utensils including, without limitation, the items listed in Exhibit C on the attached PDF;
  • Inventory: None, See Exhibit D on the attached PDF (the “Inventory”);
  • Permits: All permits, licenses, authorizations, registrations, consents and approvals relating to the Stores and/or the Business, whether governmental or otherwise, including, without limitation, those set forth in Exhibit E on the attached PD, solely to the extent that they are not Nonassignable Assets (as such term is defined in Section 1.2.6 hereof);
  • Financial Books and Records: Copies of all financial books and records relating to the Stores and/or the Business, in the form(s) maintained in the ordinary course of Seller’s Business (“Financial Books and Records”); provided, however, that the foregoing shall not include any personnel records or other information which Seller, in the exercise of its sole and absolute discretion, determines that it may not disclose to Buyer under applicable law;
  • All Other Personal Property: All other personal property or assets of Seller used by Seller solely in connection with the Business of the Stores and not in connection with any other restaurant operated by Seller or by any other seller (“Retained Restaurants”).
