Restaurant and Bar Business in New York

Sale of substantially all of assets of the Buffalo Original Wings, Inc. dba Anchor Bar, which includes:

• Inventory: The inventory of all non-expired food and beverages, including but not limited to beer, liquor, and wine, the Seller listed on Schedule 2(a)(i) attached hereto (the "Inventory"), which schedule shall be updated as determined by a physical count and mutually agreed upon by the Buyer and Seller within two (2) days prior to the Closing Date;
• Miscellaneous Tangible Goods: All of the usable and salable articles of the Restaurant, including but not limited to accounts receivable, promotional items, service and maintenance and cleaning supplies, printed materials, letterhead, envelopes, repair orders, shop reference, parts reference catalogs, product sales training materials, video tapes and discs, web sites, domain names, reference books, office supplies etc.. used in the normal course of the Restaurant;
• Furniture, Fixtures and Equipment: The Buyer shall purchase from the Seller, free and clear of all liens, claims and encumbrances all of the furniture-machinery and shop equipment, and all other fixed assets (excluding any Real Property or leasehold improvements) used in the Restaurant and/or by the Restaurant which includes, but is not limited to, the items set forth on Schedule 2(a)(iii) attached hereto (the "Equipment");
• Contracts: The contracts of Seller listed on Schedule 2(a)(iv) attached hereto (the "Assumed Contracts");
• Goodwill: Seller's goodwill, including but not limited to Seller's name, website, domain address, telephone numbers, facsimile numbers, customer lists. personnel records, technical data, internal memoranda, supplier's lists, service files, and copies of all customer lists, and other general intangibles associated with the Restaurant (the "Goodwill");
• Intellectual Property: All of the Seller's interest in trade secrets, know-how and other intellectual property including, without limitation, computer software and intellectual properly licensed to the Seller, and any social media resources created and managed by Seller's or any Shareholder's name and related in any way to the Restaurant, set forth on Schedule 2(a)(vii) attached hereto (the 'intellectual Property").
• Government Licenses, Permits and Authorizations: The licenses, permits, approvals and other governmental or non-governmental authorizations or consents, set forth on Schedule 2(a)(viii) attached hereto (collectively the "Licenses" and each individually a "License"), to the extent such Licenses are assignable.
• Leased Personal Property: The personal property leased by the Seller set forth on Schedule 2(a)(ix) attached hereto (the "Leased Personal Property").
