Sale of all the Assets of News Publishing Company including all assets, properties and rights relating to, or used or held for use in connection with, or otherwise related to, the Business, directly or indirectly, in whole or in part, of every type and description, real, personal or mixed, tangible and intangible (including goodwill), wherever located and whether or not reflected on the books of Seller.

The Sale Assets related to business described as: (i) Publications; (ii) Inventories; (iii) Circulation Information; (iv) Copyrights; (v) Advertising Materials; (vi) Advertising and other Revenue Generating Agreements; (vii) Personal Property of Business: (viii) Real Property Leases; (ix) Contracts; (x) Books and Records; (xi) Software; (xii) Claims; (xiii) Goodwill; (xiv) Insurance Claims and Proceeds; (xv) Trademarks; (xvi) Subscriber Information; (xvii) Prepaid Expenses; (xviii) Other Intellectual Property; (xix) Warranties; (xx) Non-debtor Subsidiary; and (xxi) Telephone Numbers. These Assets are more described in "Transfer of Assets" on Page 48 on the attached PDF.

News Publishing Company is a privately held community news and information corporation, organized under the laws of the State of Georgia. The Company currently publishes one (1) paid daily paper, four (4) paid weekly newspapers, five (5) free weekly shoppers, two (2) niche publications and one (1) website located in urban, suburban and rural markets. Cherokee Publishing Company, Inc., an Alabama corporation (“Cherokee”), is a wholly owned subsidiary of the Company. Cherokee currently publishes one (1) paid daily paper and one (1) free weekly shopper. The Company also operates a substantial commercial printing operation. News Publishing Company and Cherokee’s publications, websites and printing businesses (collectively, the “Business”) are a fully-functional going concern that provides services to meet the needs of their customers. The Company operates the Business from its  principal offices at 303-315 East Sixth Avenue, Rome, Georgia.
