Oil & Gas Wells and related Equipment of Oil Corporation

Sale of interests in certain oil and gas leases on land located in Kentucky and Tennessee, and approximately eighty producing oil and gas wells and related equipment located on the real property subject to such leases (the “Leases and Wells”). The Leases and Wells consist of three groups of assets: (i) all of the gas wells and the related leases, gathering system, and equipment with respect to real property located in Knox County and Laurel County, Kentucky (the “Gray Field Assets”); (ii) all of the gas wells and the related leases, gathering system, and equipment with respect to real property located in Fentress County, Tennessee (the “Gernt Assets”); and (iii) all of the oil wells and the related leases and equipment with respect to real property located in Adair, Clinton, and Metcalfe counties in Kentucky, and Fentress and Overton counties in Tennessee (the “Oil Assets”).

The Sale include substantially all of the oil and gas leasehold and royalty interests, personal property, fixtures and equipment of Young Oil Corporation. The Company was in the business of exploring and developing oil and gas resources in Kentucky and Tennessee.
