Sale of substantially all of the CAC Buildings Properties LLC’s assets, the assets includes right, title and interest in and to all of the rights, properties, contracts, leases and other assets at the Site of every kind, character and description, whether tangible or intangible, whether real, personal or mixed, whether accrued, contingent or otherwise, and wherever located describe as below:

1. Real Property: Building located at 1118-1148 Euclid Avenue, Cleveland, Ohio, together with Seller’s interest in the rights, easements and appurtenances pertaining thereto.
2. Improvements: All buildings and other improvements located upon the Real Property, together with all permanently attached machinery, fixtures and heating, plumbing, electrical, lighting, ventilating and airconditioning equipment affixed to or located on the Real Property.
3. Intangible Property: All intangible property associated with the Property including the name “The Cleveland Athletic Club”, all telephone exchange numbers, and all assignable permits, warranties, licenses, trade names and trademarks used in connection with the Property, and including without limitation all plans and specifications, architectural and engineering reports, surveys, permits, licenses, guaranties and warranties, and all renewals thereof, substitutions therefor and additions thereto and that certain award of Ohio Preservation Tax Credits (“Award”) a copy of the letter awarding the same and the amendment assigning the Award to Seller
4. Business Property: All tangible personal property not constituting part of the Real Property, located on or used in connection with the Property, including but not limited to furniture, heating and ventilating equipment, and air conditioning equipment, refrigerators, ranges, trade fixtures, tools and maintenance equipment and supplies, shades and blinds and carpeting.
