Molds Manufacturing Business in Indiana

Sale of substantially all of assets of the EPW, LLC, include all of the assets used to conduct the business, as well as all assets located at the Real Property at the time of Closing, specifically including, without limitation, the following:

• Inventory: All inventory of raw materials, work-in-process and supplies;
• Contracts: Subject to obtaining any necessary third-party consents, all of Sellers' right, title, benefit and interest (but not obligations, except to the extent specifically included in the Assumed Liabilities) in and to all contracts, agreements, customer or supplier purchase orders, personal property leases, backlog orders, and other commitments related to the Business, if any, and listed on Exhibit D;
• Intellectual Property: All of Sellers' right, title, benefit, and interest in and to all Intellectual Property presently owned, possessed, or used by any Seller in connection with the operation of the Business;
• Records: All records, customer and supplier lists, product information, product drawings, production documentation, material specifications, equipment lists, formulae, specifications, drawings, plans, reports, data, notes, correspondence, labels, catalogues, brochures, art work, photographs, advertising materials, marketing and production literature, files, copies of all personnel records and other records which any Seller is required by law to retain, and other records and documents concerning the Business in such Seller's possession;
• Manufacturer Warranties: To the extent transferable, each Seller's product and service warranties of manufacturers with respect to products purchased, sold, distributed, or serviced with respect to the Business on or before the Closing Dale (the "Manufacturer Warranties");
• Intangible Property Rights: All of Sellers' Internet domain names and addresses, Sellers' website(s), active telephone numbers of each Seller, choses in action, claims, causes, or rights of action and intangible property rights arising from or concerning the Business, including rights arising under the Manufacturer Warranties and, to the extent transferable, restrictive covenants, confidentiality obligations, and similar obligations of Sellers' present and former directors, officers, employees, and shareholders;
• Permits: All permits, license, approvals, registrations and governmental authorizations relating to or maintained as part of the Business, to the extent transferable to Buyer; and
• Vehicles, Machinery and Equipment and Other Personal Property: The vehicles, trailers, semi-tractors, computers and printers, machinery and equipment, furniture, spare parts and other personal property owned by Sellers and used in connection with the Business and listed below in this Exhibit A, together with all express or implied warranties by manufacturers or sellers of those items, and all maintenance records, brochures, catalogues, and other documents relating to those items or to the installation or functioning of those items.
