Sale of substantially all of the PSL - North America LLC assets including, (a) all buildings, structures, improvements and other interests owned by the sellers located on any Real Property leased to the sellers; (b) the Machinery, Fixtures and Equipment; (c) Inventory, including raw supplies, work-in-process and finished goods; (d) notes and accounts receivable; (e) Purchased Contracts and all of the sellers' rights thereunder; (f) the Purchased ntellectual Property; (g) all Books and Records relating to the Purchased Assets or Assumed Liabilities; and (h) all Permits held by the sellers that are owned, used or held in connection with the Purchased Assets.
