Metal Fabrication Business in Iowa

Sale of substantially all of Prairieland Blessing Properties, LLC, Assets describe as below:

• All Assumed Contracts, as well as all personal property, machinery and equipment (except for personal property, machinery and equipment that are part of the Excluded Assets) whether such assets are located at Sellers’ plants in Fayette, IA, Oelwein IA, and Quasqueton, IA;
• All of Sellers’ Intellectual Property, including but not limited to, the right to use the name “Blessing Industries,” “Blessing,” “Quamaco”, the Sellers’ registered trademarks, if any, and the Sellers’ registered logo, if any
• All rights in and to all personal property, products or services developed or sold in the operation or conduct of the Business and all rights in and to all raw materials, backlog. Work In Process, art work, supplies, packaging and other inventories of the Sellers pertaining to the Business, as well as all other tangible or intangible personal property and interests therein, including all machinery, equipment, vehicles, and furniture of the Sellers used, held for use or intended to be used in the operation or conduct of the Business;
• All Licenses and Permits of Seller pertaining to the Business;
• All rights of Sellers under the Assumed Contracts, including, without limitation, any right to receive the benefit of all obligations due to the Sellers thereunder, and the right to receive payment for goods and services due to the Sellers thereunder for goods and services that have not been delivered to purchasers/customers as of the Closing Date and to assert claims and take other rightful actions in respect of breaches, defaults and other violations occurring under any of the Assumed Contracts
• All data, files, books of account, ledgers, general, financial and accounting records, files, invoices, customers’ and suppliers’ lists, other distribution lists, billing records, sales and promotional literature, employee records, manuals, customer and supplier correspondence of the Sellers pertaining to the Business
• All credits, deposits, prepaid expenses, advance payments, security deposits and other items prepaid or deposited by the Sellers; and
• All goodwill generated by or associated with the Business.
