Sale of Lease Assets and Loan Assets of Irish Bank Resolution Corporation Limited, described as:

Lease Assets - Lease Sale of certain assets (collectively, the “Lease Assets”) related to the Channelside Premises. Lease Assets are described as: (a) any and all right, title, and interest of IBRC in and to the Ground Lease; (b) any and all right, title, and interest of IBRC, if any, in and to all fixtures, machinery, tangible personal property, and equipment; (c) any and all right, title, and interest of IBRC, as landlord, in and to all leases, license agreements and other occupancy agreements of all or any portion of the Property, together with any and all claims for amounts due as set forth on the Rent Roll; (d) any and all right, title, and interest of IBRC in and to all plans, blueprints, drawings, city or agency approvals and correspondence, permits, licenses (including liquor licenses, if any), contracts, warranties, guarantees, and other agreements, if any, held solely for use in connection with all or any portion of the property.

Loan Assets - Loan Sale of certain assets (collectively, the “Loan Assets”) related to the Channelside Premises. Loan Assets are described as: All of IBRC’s right, title, and interest in, to, and under the Loan, the Loan Documents, the Ground Lease Conveyance-in-Lieu Documents, the Seller Subsidiary, the Foreclosure Action, the Receivership, the Receivership Order, and the Eviction Action.
