Laboratory Business in Georgia

Sale of Substantially all the assets of Confirmatrix Laboratory, Inc. The Company is a laboratory business (the "Business") focused on two main areas of laboratory testing services: toxicology and blood testing. Company's principal place of business is located at 1770 Cedars Road, Suite 200, Lawrenceville, Gwinnett County, Georgia 30045. The Sale Assets are describe as below:

(i) Fixed Purchased Assets: All laboratory testing equipment and furniture, including any and all warranty or maintenance rights in connection therewith.

(ii) Inventory/Supplies: All inventory, raw materials, work in progress, packaging, supplies, parts and other inventories of the Business (the "Inventory"). The Inventory includes without limitation, tubes, reagents, specimen bags, plates, VWR-sv tubes and butterflies.

(iii) Intellectual Property: All intellectual property owned by Seller and only to the extent transferable, including without limitation, trademarks and trademark registrations and applications, trade names, service marks and service mark registrations and applications, service names, domain names, copyrights and applications therefor, telephone numbers, customer lists, customer accounts, pricing information, supplier lists, brand names, commercial and technical trade secrets, engineering, and other designs, drawings, specifications, formulae, computer and electronic data, processes, know-how, confidential information and other proprietary property, programs and software (including any warranty or maintenance rights in connection therewith)(collectively, the "Intellectual Property").

(iv) Licenses and Permits: All licenses, consents, permits, variances, certifications and approvals of governmental agencies and any application therefor, but only to the extent assignable, including without limitation, the licenses, consents, permits, variances, certifications and approvals listed on Schedule 2.5 attached hereto (the "Licenses and Permits").

(v) Real Property: All of Company's interest in that certain real property located at 1770 Cedars Road, Lawrenceville, Georgia 30045 and as more fully described in that certain Limited Warranty Deed dated April 30, 2013, and recorded in Deed Book 52192, Page 00134, Gwinnett County records (the "Real Property").
