Intangible Assets and Book Inventory of Publishing Company

Sale of Assets related to the publishing business. The Assets of the publishing business include certain trademarks, copyrights, domain names and intellectual property, publishing contracts, and other intangible property assets as well as book inventory in the approximate amount of 1,372,033 books (the "Book Inventory") as of July 28, 2014 located at Simon & Schuster, Inc. ("S&S") and additional books located at R.R. Donnelley & Sons ("Donnelley").

The Sale Assets are more described as below:

1. All intellectual property rights and claims under all contracts, licenses and commitments between the Trustee and authors and other persons and entities, including, without limitation, all rights of publication and sale, relating to the Trustee's published and unpublished titles contained in the Bid Inventory;
2. All inventory of the Titles consisting of the books located at S&S and Donnelley;
3. All U.S. and foreign copyrights, goodwill, and all other intellectual and intangible property rights relating to the Titles and imprints, including film options and other licenses to licensees, including but not limited to the tradename, Good Books, and related trademarks and ;
4. All of the Titles returned to S&S.
