Hospital Business in Puerto Rico

Sale of assets of CLINICA SANTA ROSA INC, necessary to operate the hospital in Guayama, Puerto Rico, including without limitation all its licences, permits, certificates of need and convenience “CON’s”, and all other assets and/or intangible that were not listed as an Excluded Asset. The Sale Assets are more described as below:

(i) All: (A) equipment, computers, machinery, tooling, dies, furniture, fixtures, and improvements and other tangible personal property owned by business and (B) “Leased Machinery and Equipment”;
(ii) All inventories of drugs, supplies, food, janitorial and office supplies located at the Hospital;
(iii) All supplies, items, spare parts, replacement and component parts and office and other materials and tangible items used, held for use or necessary to operate and maintain the Machinery and Equipment or to process raw materials and work in process into finished products;
(iv) All cars, trucks, forklifts, other industrial vehicles and other motor vehicles owned by business;
(v) All Software owned by business (including, without limitation, medical insurance plan billing software) or leased by Seller pursuant to an Assumed Contract;
(vi) All goodwill associated with the Hospital Business and/or the Purchased Assets;
(vii) all rights in and to Intellectual Property rights, including Software(the “Purchased Intellectual Property”); and more described from "Page 32-34" on the attached PDF.
