Heavy Agricultural Equipment Manufacturers Business in Pennsylvania

Sale of substantially all of real property and personal property assets of the GVM, Inc., et al., including the real property commonly known as 374 Heidlersburg Road, Biglerville, PA 17307 and 420 Heidlersburg Road, Biglerville, PA 17307 (collectively, the “Anderson Real Property”), and all buildings, structures, fixtures, improvements and personal property located at the Anderson Real Property (collectively with the Anderson Real Property, the “Anderson Assets”, and the Anderson Assets together with the sellers Assets are collectively, the “Assets”). The sale assets more described as below:

• All real estate and all buildings, structures, fixtures, improvements and personal property and structures owned by the sellers including, but not limited to, 4341 Sandhill Road Bellevue, Ohio 44811;
• All equipment owned by the sellers;
• All accounts receivables owned by the sellers;
• All finished goods inventory, work in process and raw materials owned by the sellers;
• All intellectual property and intellectual property rights owned by the sellers, including owned and licensed trademarks, patents and copyrights and the goodwill of the foregoing;
• All general intangibles owned by the sellers; and
• All of the real property of Anderson Assets.
