Environmental Technology Company in Connecticut

Sale of substantially all of assets of the Biomedical Technology Solutions, Inc., which include:

• All plant, machinery, equipment, fixtures, parts, furniture, furnishings, office and computer equipment, tools, spare parts and other fixed assets owned by the estate, if any and used by BMTS in connection with the ownership, operation or management of its business and, to the extent transferable, any warranty rights associated therewith;
• All inventories, wherever situated, supplies and any other merchandise of whatever kind;
• All contracts, contract rights, agreements, commitments, and leases in which the estate has any present or future right or interest on the Closing Date and which relate, directly or indirectly, to the ownership, management or operation of the Business which Buyer has specifically agreed in writing to assume (collectively, the "Assumed Contracts");
• All telephone and facsimile numbers and directory listings of BMTS to the extent of the estate's rights therein, and all telephone and other advertising with respect to the operations of BMTS;
• All causes of actions for breach of warranty (or any similar cause of action) with respect to the Assets;
• All accreditations, licenses, permits, authorizations, certificates, franchises, and governmental consents and approvals necessary to or intended for the ownership and operation of the former business of BMTS;
• All books, records, databases, customer lists, supplier lists, data and records, reports and information, all property use and operational materials, plans and specifications, site plans, plats, surveys, zoning materials, correspondence and all of seller's books, files, records, documents, data, plans, proposals and all other recorded knowledge, whether in written, electronic, visual or other form, including, but not limited to that which is related to BMTS Technology;
• All other assets not otherwise specifically excluded under the APA and held or used in connection with the former BMTS business, including goodwill and general intangibles; and
• All other intellectual property and licenses.
