Sale of substantially all assets of Sullivan International Group, Inc. The Seller’s Assets generally consist of (i) prime contracts with both governmental and private customers for which the Seller serves as a prime contractor; (ii) subcontracts under which the Seller is providing services to prime contractors that are parties to contracts with both governmental and private customers; (iii) interests in joint ventures that are party to contracts with both governmental and private customers; and (iv) assets related to the Seller’s contracting business, including accounts receivable and unbilled work in process.
