Sale of all Assets of ISC8 Inc. which is a Cyber Security Services Company located in Costa Mesa, California. Assets for sale includes:

1. cash (excluding any of the Cash Consideration), if any;
2. all business-related claims and causes of action;
3. all books and records of Seller pertaining to the Purchased Assets and ownership or other interests of Seller in the Purchased Assets;
4. the goodwill, customer relationships and other intangible property relating to any of the Purchased Assets;
5. Seller’s intellectual property and all goodwill associated therewith, all licenses and sublicenses granted and obtained with respect thereto;
6. finished products, packaging materials, parts, goods, accessories and miscellaneous inventories and supplies;
7. machinery, equipment and other tangible personal property in which Seller has any ownership interest as of the Closing Date; and
8. rights and interests in and to licenses, permits and approvals issued to Seller by any governmental agency or other Person necessary to or used in the business of Seller.
