ZyGem Corp.:

Intellectual Property Rights:

• All right, title, and interest in and to Intellectual Property owned by the ZyGEM including but not limited to those patent rights set forth in Attachment A on attached PDF.

Other Assets:

• All Available Books and Records
• 100% of Shares in New Zealand Subsidiary

MicroLab Diagnostics, Inc. Assets

Equipment:

• DNA Analyzer Prototypes (full and partial)
• Broadboards
• Test Benches
• All Equipment and Tools in Lab at 705 D Dale Avenue, Charlottesville, Virginia not owned by Lockheed Martin Corporation.

Intellectual Property Rights:

• All right, title, and interest in and to Intellectual Property owned by the MicroLab, including but not limited to those patent rights set forth in Attachment B on attached PDF, and all registered and common law trademark rights of the Microlab Debtor in the trade name and trademark “MICROLAB DIAGNOSTICS.

• Design Documents
• All Available Books and Records
• Any and all assets identified in that certain Technology Assignment Agreement dated May 19, 2010 between MicroLab Diagnostics, Inc. and John Pettit, Ph.D. and Pettit Applied Technologies, Inc.
