Description
Sale of substantially all of assets of the American Renewable Power LLC (“ARP”) and ARPLoyalton Cogen LLC (“Loyalton,” and collectively with ARP, “Sellers”), including real property and personal property, used by the seller in connection with the operation by the sellers of the Loyalton, California Biomass Plant (the “Plant”) located at 100 South Railroad Avenue, Loyalton, California 96118, and certain continuous generally unimproved real property, which produced electricity from logging wastes and other biomass materials. The following personal property: (i) cash; (ii) accounts receivables; (iii) biomass fuel (inventory); (iv) furniture and fixtures; (v) office equipment; (vi) software; (vii) machinery and equipment; (viii) transmission; (ix) spare parts – turbine generator; and (x) rolling stock.
ARP is the 100% owner of Loyalton, and Loyalton is the owner of the Plant and a total of approximately 216 acres of real property consisting of the real property upon which the Plant is located and other contiguous and adjacent generally unimproved real property (collectively, the “Real Property”), as legally described on Exhibit A on the attached PDF. ARP does not operate a business other than owning and controlling Loyalton. ARP is headquartered in Irvine, California. The Plant is a 20 Megawatt biomass power generation facility located near the town of Loyalton, in Sierra County, California. The Plant began operations in 1989 as a heat and power generating plant that served a large sawmill and delivered power on the NV Energy system. The Plant sources and converts to heat and electricity (i) local fiber feedstock from sustainably harvested and managed forests and woody biomass diverted from landfills, largely from forest thinning by CalFire and (ii) orchard and other agricultural waste.
