Baby Products Manufacturing and Distributing Company in New Jersey

Sale of substantially all of the assets of Sassy, Inc., the Seller's products span a number of categories, including infant bedding and related nursery accessories and décor, nursery appliances, diaper bags, and bath/spa products (Kids Line® and CoCaLo®), nursery furniture and related products (LaJobi®), developmental toys and feeding products, and bath and baby care items with features that address the various stages of an infant’s early years, including the Kokopax® line of baby gear products (Sassy®). The Company’s products are sold primarily to retailers in North America and Australia, including large, national retailers and independent retailers (including toy, specialty, food, drug, apparel and other retailers)

The Sale Assets are describe below:
(i) all Real Property Leases and Contracts
(ii) the Intellectual Property
(iii) all Fixed Assets and Equipment, wherever located, that are used to operate the Acquired Locations (collectively, the “FF&E”), including the FF&E
(iv) all Inventory, supplies and materials of the Seller
(v) all Security Deposits relating to any Assumed Agreements;
(vi) all licenses, franchises, permits, variances, exemptions, orders, approvals, and authorizations issued by Governmental Bodies in connection with the Acquired Locations (the “Permits”);
(vii) all telephone numbers and addresses (including electronic mail addresses, except to the extent incorporating a domain name related to Kid Brands or any Affiliate) used by Seller in connection with the Acquired Locations
(viii) all Books and Records relating to the Acquired Locations
(ix) all Accounts Receivable
(x) all goodwill associated with the Business or the Purchased Assets, including all goodwill associated with Seller’s Intellectual Property.
