Sale of assets of Safe Haven Health Care, Inc., including the following described property related to the seller's administration and operation of a facility located at 620 N. 6th Street, Bellevue, Idaho 83313 (the “Facility”):
- All equipment, tools, furniture, and fixtures used or useful, or intended to be used, in the operation of the Bell Mountain Village, including, without limitation, the assets listed on attached Exhibit C to the Purchase Agreement, together with any replacements made or additions to such assets prior to the Closing Date;
- Assumption of lease agreement for furniture, fixtures, and equipment at Bell Mountain Village, as attached as Exhibit E to the Purchase Agreement;
- Seller’s supply and drug inventory, excluding supply and inventory disposed of in the ordinary course of Seller’s business between the date hereof and the Closing Date;
- All patient records, including, without limitation, x-rays and charts;
- All patient/client mailing lists;
- Seller and Selling Shareholder’s goodwill;
- Seller’s telephone number, web domain address, business names used at the Facilities, and related intangibles; and
- The real property and fixtures and improvements comprising Bell Mountain Village and adjacent vacant land, each legally described in Exhibit A to the Purchase Agreement.
