Assets of Wholesale Truck Trailers Business

Sale of substantially all of assets of K & L Trailer Sales And Leasing, Inc. (“Seller”). The seller is in the business of selling new and used big rig trailers at 7828 Rutledge Pike, Knoxville, Tennessee.

The assets shall include, without limitation, all the interests of the seller in any real property improvements thereon (if any), all the machinery, equipment, tools and spare-parts, cash collateral (as defined in 11 U.S.C. §363(a)), accounts receivables, inventory, supplies, materials, intellectual properties of every kind and nature, permits, registrations, licenses, knowhow, formula, trade secrets, patents, trademarks, intellectual property, trade names, applications, marketing plans, advertising materials, customer lists, purchase orders and agreements with customers as approved in writing by Buyer at or before Closing, agreements as approved by Buyer in writing at or before the Closing, corporate, business and brand names and all their variations, telephone and fax numbers and listings, business records and data copyrights, goodwill, claims (other than those of the Trustee), including those against third parties for infringements, websites, domain names, domain registrations, email addresses, passwords, software programs, software source code, and domain names and websites registered on behalf of seller by third parties including Sellers’ employees and/or agents (whether or not used by Seller), all other personal, real, tangible, intangible wherever located and being either directly or indirectly used by the Seller in its operating the Business, and more described from Page No. 14-35 on the attached PDF.
