Assets of Wholesale Contractor Equipment Dealers Business

Sale of Assets of Midwest Portable Machine, Inc., including, without limitation, all furniture, fixtures, and equipment used by the Seller in the conduct of its Business (collectively the "Equipment"), together with all of the Seller's right, title and interest in and to the Seller's inventory used by the Seller in the conduct of its Business (collectively the "Inventory"), together with Seller's work in process and finished goods (collectively "Goods"), together with the Seller's business records, customer lists, vendor lists and all business information, software and leases (collectively the "Records") (the Equipment, Inventory, Goods, and Records being hereinafter collectively referred to as the "Assets").
