Assets of Wholesale Advertising Business

Sale of substantially all of the assets of Promomanagers Inc, described as below:

• Customer list(s);
• Inventory;
• Intellectual property, including but not limited to, the rights to the name “PromoManagers,” the domain name “www.promomanagers.com” and any other domain names owned by Seller, the Seller’s website(s), any database, all trademarks, service marks, and copyrights, whether registered or unregistered;
• Telephone number(s); and,
• Historical customer order data records.
• Accounts Receivable: (i) Included in the Transaction are all customer orders received by Seller prior to, on, or after the Closing Date for which Seller has not completed and fulfilled and has not paid all costs associated with the processing and fulfillment of such orders shall be acquired by Purchaser and Purchaser shall be responsible for all processing and fulfillment costs and shall be entitled to all accounts receivable from such orders.
• The foregoing assets and properties to be sold, transferred and delivered by the Seller to the Purchaser are hereinafter referred to as the “Transferred Assets.” The list of the Transferred Assets is: 1. Domain www.promomanagers.com; 2. Phone number 8005446515 and 6179383922; 3. Email Promomanagers.com; 4. Customer lists and historical customer order data; 5. Google access; 6. Bing access; 7. Facebook Page; 8. Inventory.
