Assets of Waterjet Cutting Service Business

Sale of substantially all of assets of H20 Tech, Inc (the “Seller”), which includes:

• Any and all Waterjet prototypes;
• All research files, documents, drawings, and research milestones of the seller;
• The seller's rights in its patent license agreement with Brigham Young University (the “BYU License”);
• All patents, patent rights, and other intellectual property rights of the seller; and
• All claims and causes of action of the seller, other than claims arising under Chapter 5 of the Bankruptcy Code (with the exception of any causes of action of the seller's estate for unauthorized post-petition transfers of any of the Assets, which the Trustee agrees to pursue at the Buyer’s cost and expense for the benefit of the Buyer, if directed in writing by the Buyer to pursue a claim for unauthorized post-petition transfer), including without limitation any and all claims of the seller against current and former directors and officers of the seller.
