Auction Sale of remaining assets and the de Minimis assets of Celadon Group, Inc., and more described as below:

The Seller's Remaining Assets include various business units in the United States, Canada and Mexico, tractors, trailers and other rolling stock, leases, and other assets relating to the operation of their businesses (other than owned real estate); and The De Minimis Assets constitute all assets of the seller for which the fair market value is $100,000 or less, including furniture, fixtures and equipment, computers and other technological items and office supplies. Together, the Remaining Assets and De Minimis Assets consist of substantially all assets of the sellers, other than owned real estate.
