Assets of Trucking Transportation Services Business

Sale of assets of Quantum Transportation, LLC (“Quantum”), J.P. Donmoyer, Inc. (“Donmoyer”) (collectively the "Sellers"), including various tangible and intangible personal property including, but not limited to, office furniture and equipment, transportation equipment (equipment consisting, for the most part, of over-the-road tractors and trailers) and various materials and inventory, shop equipment, tools and parts, intellectual property rights, good will, certain customer contracts and other contracts and goods utilized in its Business. Donmoyer also owns a certain U.S. Patent No. 7,228,199 for tank level monitoring and other intangible and tangible assets relating to properties utilized by the sellers in Ono, Pennsylvania, Nazareth, Pennsylvania, Walnutport, Pennsylvania, Vineland, New Jersey, Keymer, Maryland, Martinsburg, West Virginia and Bellefonte, Pennsylvania all of which are locations utilized by one or more of the sellers. The sellers also have certain leases concerning over-the-road tractors and trailers.
