Assets of Textile Furnishing Products Business

Sale of substantially all of assets of the Latex Foam International Holdings, Inc. (“LFI Holdings”), Latex Foam International, LLC (“LFI”), Latex Foam Assets Acquisition, LLC (“LFA”), Pure Latex Bliss, LLC (“PLB”), and PLB Holdings, LLC (“PLB Holdings,” together with LFI Holdings, LFI, LFA and PLB, the “Sellers”). The sale assets described as below:

• Inventory in possession of the Sellers and in transit and in the possession of processors and other third parties, materials, supplies, and packaging materials, if any;
• All machinery and equipment of the Business;
• All personal property, including but not being limited to leases and leasehold interests, furniture, fixtures, office equipment, tolls, supplies, vehicles, computers and telecommunication equipment, including but not limited to hardware and software related thereto, and telephone numbers;
• All intellectual property;
• All rights under all contracts, agreements and leases related to the Business that the Buyer designates for assumption and assignment;
• Customer lists, sales and marketing materials, mailing lists, marketing lists, employee lists, and related information;
• All intangible assets and goodwill of the Business;
• All books and records of the Business; and
• All other assets and rights associated with or used by the Business that are not specifically excluded.
